Please read these Terms and Conditions ("Terms") carefully before registering for or using the Bitmarts website, mobile application, marketplace, vendor panel, or any related service (collectively, the "Platform"). By creating an account, checking the agreement box, or otherwise using the Platform, you ("User", "Member", "Vendor", "you") confirm that you have read, understood, and agree to be legally bound by these Terms in full.

1. Acceptance of Terms

Registration on the Platform constitutes full and unconditional acceptance of these Terms. If you do not agree with any part of these Terms, you must not register on, access, or use the Platform.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under applicable law to register on the Platform. By registering, you represent and warrant that you meet this requirement.

3. Nature of Platform & Services

Bitmarts provides a marketplace, shopping, vendor onboarding, and related digital services. Bitmarts acts solely as a facilitator connecting buyers, sellers, vendors, and service providers. Bitmarts does not manufacture, guarantee, warrant, or take ownership of any third-party product, service, or listing offered through the Platform.

4. No Guarantee by the Company

The Company makes no representation, warranty, or guarantee — express or implied — regarding the outcome, returns, performance, profitability, delivery timelines, or results of any activity, transaction, order, investment, or engagement carried out through the Platform. All decisions taken by the User on the Platform are made at the User's own discretion and sole risk.

5. User Responsibility

You are solely and entirely responsible for:

All actions taken from your registered account;
The accuracy of information submitted during registration and KYC;
The confidentiality of your login credentials, password, and OTPs;
All transactions, orders, payments, and fund transfers initiated by you;
Verifying vendors/sellers and product details before making any payment.

Any loss arising from the User's own negligence, incorrect details, shared credentials, or unauthorized third-party access shall be the sole responsibility of the User, and the Company shall bear no liability whatsoever in such cases.

6. Funds, Payments & Wallet Disclaimer

Any amount deposited, transferred, held, or routed through the Platform's wallet, payment gateway, or any linked payment channel is done entirely at the User's own risk. In the event of any delay, freeze, hold, technical failure, banking issue, regulatory action, or stoppage of funds — whether caused by a third-party payment processor, bank, gateway, or otherwise — the Company shall not be held responsible or liable in any manner, financially or otherwise. The Company does not guarantee the timing, availability, or release of any such funds.

7. No Financial or Investment Advice

Nothing on the Platform constitutes financial, investment, trading, tax, or legal advice. Any commercial or financial decision made by the User based on content, listings, or information available on the Platform is undertaken entirely at the User's own risk and discretion.

8. Vendor Obligations

Vendors registering on the Platform are independently responsible for the legality, quality, pricing, and delivery of their products/services, and for compliance with all applicable laws, including GST, consumer protection, and e-commerce regulations. The Company is not a party to any transaction between a Vendor and a buyer.

9. Limitation of Liability

To the maximum extent permitted by law, the Company, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages — including loss of funds, loss of profit, loss of data, or loss of business — arising out of or in connection with the use of the Platform, whether or not the Company has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless the Company and its representatives from any claim, demand, loss, or liability arising out of your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

11. Account Suspension & Termination

The Company reserves the right to suspend, restrict, or terminate any account found to be engaged in fraudulent activity, misuse of the Platform, or violation of these Terms, without prior notice and without any liability towards the User for such action.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

13. Changes to Terms

The Company reserves the right to modify, update, or replace these Terms at any time without prior notice. Continued use of the Platform after any changes constitutes acceptance of the revised Terms. Users are encouraged to review this page periodically.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts.
